By accessing or using the Socitic platform ("Service"), you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must immediately cease using the Service. Continued use of the platform after any modification to these Terms constitutes your acceptance of the revised Terms.

Socitic is an independent review and trust platform that enables consumers to discover, review, and rate businesses, and enables businesses to manage their online reputation. The Service includes:

• A public directory of businesses with user-generated reviews and ratings • Tools for businesses to claim, verify, and manage their profiles • AI-powered trust scoring and fraud detection systems • Community features including rankings, feeds, and notifications • Analytics and business performance dashboards

Socitic reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password confidential and secure • Notify Socitic immediately of any unauthorised use of your account • Accept responsibility for all activities that occur under your account

You may not create an account for anyone other than yourself, use a false identity, or create multiple accounts for the same person. Socitic reserves the right to suspend or terminate accounts that violate these Terms.

When you submit a review or any other content ("User Content") to the Service, you represent that:

• You have personally experienced the business or service you are reviewing • Your review is truthful, accurate, and based on your genuine experience • You are not affiliated with the business, its competitors, or any third party with a financial interest in the outcome • Your content does not violate any third-party rights

By submitting User Content, you grant Socitic a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, publish, and distribute that content in connection with the Service.

Socitic may remove any User Content that violates these Terms or our Community Guidelines without prior notice.

You agree not to engage in any of the following prohibited activities:

• Submitting false, misleading, or fabricated reviews • Incentivising or purchasing reviews in exchange for compensation • Using the Service to harass, abuse, or harm any individual or business • Attempting to manipulate rankings, trust scores, or any platform metrics • Accessing or interfering with another user's account without authorisation • Scraping, crawling, or automated data collection without written consent • Uploading malware, viruses, or any malicious code • Violating any applicable law or regulation • Impersonating any person, business, or Socitic employee

Violations may result in immediate account termination and, where appropriate, legal action.

Businesses may claim their Socitic profile by completing our verification process. By claiming a profile, you represent that you are an authorised representative of that business. Business accounts are subject to additional terms:

• You may not respond to reviews in a threatening, defamatory, or misleading manner • You may not offer compensation in exchange for positive reviews or removal of negative reviews • You may not use the platform to make false claims about competitors • Business data submitted to the platform must be accurate and kept up to date

Socitic reserves the right to revoke a business claim if we determine the verification was obtained fraudulently.

All content on the Socitic platform that is not User Content — including the platform design, logos, trademarks, software, and proprietary data — is owned by Socitic, Inc. and is protected by copyright, trademark, and other applicable laws.

You may not reproduce, distribute, modify, or create derivative works from Socitic's proprietary content without our express written permission. Your use of the Service does not grant you any rights to our intellectual property.

Socitic respects intellectual property rights and expects users to do the same. If you believe your intellectual property has been infringed on our platform, please contact us at legal@socitic.com.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

We are committed to protecting your personal data and comply with applicable data protection regulations including GDPR and CCPA where applicable. For details on how we collect, process, and protect your data, please review our full Privacy Policy.

The Service is provided on an "as is" and "as available" basis without warranties of any kind. Socitic does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, Socitic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if Socitic has been advised of the possibility of such damages.

User-generated reviews and ratings represent the opinions of individual users and do not reflect the views of Socitic. We do not endorse any business listed on our platform.

Socitic may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violations of these Terms, fraudulent activity, or actions that harm the community.

You may terminate your account at any time by contacting us at support@socitic.com. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Socitic, Inc. is incorporated, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Socitic.

Socitic reserves the right to update these Terms at any time. We will notify registered users of material changes by email or through a prominent notice on the platform at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue your use of the Service.
